FOR IMMEDIATE RELEASE

Assigment:

Educational Learning company for Small businesses

Today's Date -- 2005

Task: Phase one was to assist  minority shareholders in the company to gain control of the failing firm before it either went out of business or had to be liquidated. The company had gone through over $30 million of investor funds without having developed and/or executed a successful business formula. Its original internet offerings had not found a profitable customer reception. However, for stock it had acquired a small education learning company for small businesses.

Deliverables: Joined two of the original minority shareholders and raised a small amount of capital to infuse in the company in order to stay alive. Negotiated with the existing management and controlling shareholders to take over their controlling stock position and to replace them as the management team.  Invested some of their own capital in this turn around undertaking.

Helped focus company in the business learning area including recruiting and infusing new management.  The capital structure of the company was completely realigned without filing for bankruptcy. The company went through a public company de-listing and now a re-listing of its stock.
